Unlike many states, Florida does not have a formal corporate-practice-of-medicine doctrine. Non-physician entities, corporations, and private investors can own and operate medical practices and even employ physicians here. In a state with strict rules, a buyer is forced into a friendly-PC and MSO shell. In Florida a non-physician or private equity buyer can frequently take direct ownership instead. The real compliance hook is not ownership, it is the Health Care Clinic Act, and knowing exactly when it applies is what keeps a deal clean.

No CPOM Prohibition

Florida does not have a specific corporate-practice-of-medicine statute prohibiting non-physician ownership. Investors, corporations, and PE buyers can own and run a practice and employ the treating physicians, which is the opposite of the stricter-state default.

MSO Is Optional, Not Required

The friendly-PC and MSO model is one available compliance pathway in Florida that some buyers may prefer, not a legal requirement. Many practices organize as standard corporations or LLCs, so a sale here often does not need the structural contortions a stricter state forces.

The Health Care Clinic License

The real trigger is the Florida Health Care Clinic Act, administered by AHCA. A practice needs a Health Care Clinic License when it is not 100% physician-owned and it bills insurance. Fully physician-owned, or cash-pay only with no insurance billing, and the license is generally not triggered.

Felony Exposure on Licensure

Operating without the license when required is a felony, a third-degree felony on a first violation and a second-degree felony after, with fines up to $5,000 for each day of non-compliance. A lapsed license is a diligence item a buyer's counsel will find and use to discount or delay.
