The State Rules, In Brief

You do not sell the practice. You sell the management company.

California restricts the corporate practice of medicine more tightly than almost any other state, so a non-physician, a private equity firm, or a general corporation cannot own a medical practice or control clinical decisions in San Diego. The lawful path is the friendly-PC and MSO model: a physician-owned professional corporation holds the clinical practice, and a separate management services organization, the part a non-physician investor owns and funds, provides non-clinical services for a fee. The MSO is what gets bought and sold, which is why a San Diego sale is a structured transaction, never a simple stock sale. Two 2026 laws reset the rules. SB 351, effective January 1, 2026, bars private equity groups and hedge funds from controlling clinical matters and bans non-compete and non-disparagement clauses in these management arrangements, so older agreements may need rework before close. AB 1415, also effective January 1, 2026, expands premerger notice to California's Office of Health Care Affordability, which can add a notice period and a Cost and Market Impact Review to larger deals.
